The article is devoted to the study of the legal aspects of securitization
of "green" assets in modern conditions. It is determined that at present the world is experiencing fundamental changes in the concept of financing. Thus, in modern
conditions, capital is no longer considered only a resource, but is an important tool for
deepening globalization processes. Today, compliance with environmental priorities is
not only a matter of ethics, but also a strict requirement of capital markets. Therefore,
the study of the legal aspects of securitization of "green" assets is in the focus of
attention of lawyers and economists.
In general, securitization contributes to the transformation of future revenues from
the implementation of environmental projects (in particular, renewable energy and
energy efficiency projects) into liquid securities. In our opinion, securitization should
be understood as a kind of bridge that combines significant resources of foreign
investors with local "green" initiatives. It has been determined that securitization of
green assets should be considered the process of issuing securities that are secured by
a portfolio of assets with a certain environmental effect. It is important to create a
special purpose vehicle (SPV) that allows for the legal separation of green assets (in
particular, loans for the installation of solar panels or leasing of electric cars) from the
general risks of the initiator.
It was found that the securitization of "green" assets can have a positive impact
on the national economy as a whole, which is manifested in ensuring economic growth
and development of the capital market, maximum efficiency of risk sharing in the
financial sector, reducing the cost and increasing the duration of loans for consumers,
minimizing inflationary processes, increasing the capitalization and liquidity of the
banking sector, as well as maximizing various types of investments. In addition, green
securitization can have a rather positive effect for corporations and financial
institutions in the context of providing financing for environmental projects, which
plays a particularly relevant role for the further post-war reconstruction of our state. It
was established that the legal aspects of the securitization of "green" assets require a
classical structure, but with environmental features, in particular: the creation of a
special legal entity (SPV) aims to isolate asset risks from issuer risks; mandatory
adherence to the principle of "true sale", i.e. legally separating assets so that in the
event of the initiator's bankruptcy, investors' rights to profit from the sale of "green"
assets are protected.
